Terms of service

These Terms of Service (hereinafter referred to as "these Terms") define the terms and conditions for the use of the online shop (hereinafter referred to as "the Service") provided by MH Gallery Co., Ltd. (hereinafter referred to as "the Company") on this website. Registered users (hereinafter referred to as "Users") shall use the Service in accordance with these Terms.

Article 1 (Application)

1.These Terms shall apply to all relationships between the User and the Company regarding the use of the Service.

2.In addition to these Terms, the Company may establish various rules and regulations (hereinafter referred to as "Individual Provisions") related to the use of the Service. These Individual Provisions, regardless of their name, shall form part of these Terms.

3.In the event of any conflict between these Terms and the Individual Provisions, the Individual Provisions shall prevail unless otherwise specifically stipulated in the Individual Provisions.

Article 2 (User Registration)

1.In the Service, user registration shall be completed when the applicant agrees to these Terms, applies for registration using the method specified by the Company, and the Company notifies the applicant of its approval.

2.The Company may refuse to approve the registration application if the applicant falls under any of the following conditions, and the Company is under no obligation to disclose the reasons for such refusal:

・If false information was provided in the registration application.

・If the application is from a person who has violated these Terms in the past.

・If the Company deems the registration inappropriate for other reasons.

Article 3 (Management of User ID and Password)

1.Users are responsible for managing their User ID and password for the Service.

2.Users shall not, under any circumstances, transfer or lend their User ID or password to a third party, or share them with a third party. The Company will consider any use of the Service as by the User themselves if the combination of User ID and password matches the registered information.

3.The Company shall not be liable for any damages caused by the use of a User's ID or password by a third party, except in cases of willful misconduct or gross negligence by the Company.

Article 4 (Sales Contract)

1.In the Service, a sales contract shall be established when a User makes a purchase request to the Company, and the Company sends a notification of acceptance of that request. The ownership of the product shall transfer to the User when the Company hands over the product to the delivery company.

2.The Company may cancel the sales contract mentioned in the previous paragraph without prior notice to the User if the User falls under any of the following conditions:

・If the User violates these Terms.

・If the delivery of the product is not completed due to an unknown delivery address or prolonged absence.

・Other cases where the Company determines that the trust between the Company and the User has been damaged.

Payment methods, delivery methods, order cancellation, and return procedures related to the Service shall be governed by the methods separately determined by the Company.

Article 5 (Intellectual Property Rights)

The copyrights and other intellectual property rights for product photos and other content (hereinafter referred to as "Content") provided through the Service belong to the Company and legitimate rights holders such as content providers. Users may not reproduce, transmit, modify, or otherwise use such Content without authorization.

Article 6 (Prohibited Activities)

In using the Service, Users shall not engage in the following activities:

1.Acts that violate laws or public order and morals.

2.Acts related to criminal activity.

3.Infringement of copyrights, trademark rights, and other intellectual property rights related to the Service.

4.Disruption or destruction of the Company’s servers or network functions.

5.Commercial use of information obtained through the Service.

6.Acts that may interfere with the operation of the Company’s services.

7.Unauthorized access or attempts to gain unauthorized access.

8.Collecting or storing personal information of other users.

9.Impersonating other users.

10.Providing benefits to anti-social forces in connection with the Company’s services.

11.Other acts deemed inappropriate by the Company.

Article 7 (Suspension of the Service)

The Company may suspend or interrupt the Service without prior notice to Users in the following cases:

1.When performing maintenance or updates on the computer system related to the Service.

2.When the Service becomes difficult to provide due to natural disasters, power outages, or other force majeure events.

3.When computers or communication lines are interrupted due to accidents.

4.Other cases where the Company deems the provision of the Service difficult.

The Company shall not be liable for any damages or losses suffered by Users or third parties due to the suspension or interruption of the Service, regardless of the reason.

Article 8 (Restrictions on Use and Deregistration)

The Company may restrict the use of all or part of the Service or deregister a User without prior notice in the following cases:

1.If the User violates any provision of these Terms.

2.If it is discovered that the User’s registration information contains falsehoods.

3.If the credit card registered by the User as a payment method is suspended.

4.If the User fails to fulfill payment obligations.

5.If the User does not respond to communications from the Company for a certain period.

6.If the User has not used the Service for a certain period.

7.Other cases where the Company deems the use of the Service inappropriate.

The Company shall not be liable for any damages incurred by the User as a result of actions taken under this Article.

Article 9 (Withdrawal)

Users may withdraw from the Service by following the prescribed withdrawal procedures.

Article 10 (Disclaimer of Warranties and Limitation of Liability)

1.The Company does not guarantee that the Service is free of defects, including those related to safety, reliability, accuracy, completeness, validity, suitability for specific purposes, security, errors, bugs, or rights infringements.

2.The Company shall not be liable for any damages incurred by Users as a result of the use of the Service. However, if the contract between the Company and the User regarding the Service (including these Terms) constitutes a consumer contract under the Consumer Contract Act, this disclaimer shall not apply. Even in such cases, the Company shall not be liable for damages resulting from special circumstances (including cases where the Company or the User foresaw or could have foreseen such damages), except in cases of willful misconduct or gross negligence by the Company.

3.The Company shall not be responsible for any transactions, communications, or disputes between Users and other Users or third parties in relation to the Service.

Article 11 (Changes to the Service)

The Company may change the content of the Service or discontinue the provision of the Service without notifying Users and shall not be liable for any damages incurred by Users as a result of such changes.

Article 12 (Amendments to the Terms)

The Company may amend these Terms at any time without notifying Users if deemed necessary. If a User starts using the Service after the amendment of these Terms, the User is considered to have agreed to the amended Terms.

Article 13 (Handling of Personal Information)

The Company shall appropriately handle personal information obtained through the use of the Service in accordance with the Company’s Privacy Policy.

Article 14 (Notifications and Communications)

Notifications or communications between the User and the Company shall be made in the manner specified by the Company. The Company shall deem the contact information currently registered to be valid unless otherwise notified by the User through a method specified separately, and notifications or communications shall be considered to have reached the User at the time of transmission.

Article 15 (Prohibition of Assignment of Rights and Obligations)

Users may not assign or pledge their rights or obligations under the usage contract or these Terms to a third party without prior written consent from the Company.

Article 16 (Governing Law and Jurisdiction)

1.The interpretation of these Terms shall be governed by the laws of Japan. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to the Service.

2.In the event of a dispute regarding the Service, the exclusive jurisdiction of the court located at the Company's headquarters shall apply.
